Pharmacy-specific tax wrinkles

  1. Rx inventory mandatory carve-out. Ordinary income on sale; cannot defer under §453. Massive piece of pharmacy P&L.
  2. DIR fees clawback. Direct and Indirect Remuneration fees from PBMs clawed back post-sale; affects net proceeds.
  3. DEA license transfer. Required for controlled substance dispensing; transfer takes time.
  4. Compounding pharmacy: 503A vs 503B FDA classification. Affects valuation; 503B (outsourcing facility) much higher.
  5. PBM contracts (Express Scripts, OptumRx, CVS Caremark). Contract assignability; some renegotiable at close.
  6. State Board of Pharmacy ownership transfer. Each state has rules.
  7. Specialty pharmacy. Different buyer pool, higher multiple.
